Berkshire’s 2025 annual report states that it has not declared a cash dividend since 1967. Its current policy favors retaining earnings when they are reasonably likely to create more shareholder value. No 2026 or 2027 cash-dividend declaration is verified in this guide.
Why a large cash balance is not a dividend announcement
The 2025 annual report and 2026 shareholder letter describe a policy reviewed annually by the board: retain earnings when doing so is reasonably likely to create more than a dollar of market value for each dollar retained. That is a capital-allocation criterion, not a promise of a particular future share price. The report also states the historical absence of a cash dividend since 1967.
A large balance of cash and Treasury securities does not establish an amount available for automatic distribution. A holding company must consider commitments, risk capacity and opportunities across its businesses. Shareholders can reasonably debate capital allocation without treating that debate as evidence of an approved payment. A forecast calendar should remain empty until a declaration exists.
BRK.A and BRK.B: rights, conversion and the denominator
The 2025 Form 10-K states that a Class B share has one-fifteen-hundredth of a Class A share’s dividend and distribution rights, but one-ten-thousandth of its voting rights. One Class A share may be converted into 1,500 Class B shares at the holder’s option. Conversion does not operate in reverse.
On a small screen, swipe the table horizontally. Keyboard users can focus the table region and use the arrow keys.
| Feature | Class A | Class B |
|---|---|---|
| Relative distribution rights | 1 | 1/1,500 of Class A |
| Relative voting rights | 1 | 1/10,000 of Class A |
| Conversion described in filing | One A can become 1,500 B | Cannot become Class A |
These are security terms, not a declared cash dividend. The distribution-rights ratio must not be confused with the voting ratio. Nor should either be interpreted as a new annual split: converting a particular holder’s shares under existing terms is different from a board announcing a split across a share class.
A hypothetical dividend must identify the class
Suppose, purely for illustration, a future declaration specified $1,500 per Class A share on the stated proportional basis. The corresponding Class B amount would be $1, not $1,500 or $0.15. This example explains unit conversion; it is not a Berkshire forecast, proposed distribution or estimate of probability.
For 100 Class B shares, that hypothetical $1 distribution would total $100 gross. An actual announcement would still need to specify the security, record date, payable date and any relevant conditions. Until then, the conservative cash-income budget uses zero declared future income. Zero in that budget is not a claim that the company will never change policy.
What should an investor evaluate for 2027?
Our review asks whether retained resources improve per-share economic value after considering the risks taken. Distinguish operating performance from unrealized changes in investment values. A reported profit can move sharply without an equivalent amount of spendable operating cash, while an investment opportunity can require cash before producing earnings.
Insurance obligations also make liquidity different from idle money in a personal account. Potential claims and other commitments must be respected when judging excess capital. Across non-insurance businesses, maintenance investment and growth investment have different purposes. None of these observations assigns an exact intrinsic value or predicts the next acquisition.
Repurchases can alter continuing owners’ proportional interest when shares are retired, but they are not a dividend deposit to every account. A program’s existence does not guarantee purchases at any price or on a fixed date. Assess price discipline and the actual change in ownership units instead of adding repurchase authorizations to an income forecast.
What counts as a new Berkshire split?
This guide verifies no new 2026 or 2027 split ratio or stock-distribution date. An existing class-conversion right is not evidence of a new bonus issue. Before repeating a split claim, identify the affected class and obtain a dated company notice. A headline about BRK.B should not automatically be applied to BRK.A.
Frequently asked questions
Do Berkshire’s portfolio dividends flow directly to BRK shareholders?
No. Income received by the company is separate from a cash dividend declared to its own shareholders.
Can 1,500 BRK.B shares be converted back into BRK.A under the described right?
No. The filing describes a one-way Class A to Class B conversion.
